Public offer for voluntary charitable donation

1. GENERAL PROVISIONS

1.1. This public offer for charitable donation (hereinafter referred to as the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine, is an offer from the Charitable Organization "Kharkiv Volunteer Center", identification code 34954427, located at: Ukraine, 61099, Kharkiv, A. Oschypkova St., building 16, apartment 33 (hereinafter referred to as "CO"), represented by the director Svitlana Petrovna Sitnik, acting on the basis of the Statute, to an indefinite number of capable individuals and legal entities of private law who voluntarily engage in charitable activities (hereinafter each such person is referred to as the "Donor"), to conclude a contract for the provision of a charitable donation (hereinafter referred to as the "Contract") under the terms described in this Offer, with each Donor who applies.

1.2. This Offer comes into effect from the moment it is posted on the CO's website on the Internet at the link: https: //volunteer.in.ua/ (hereinafter referred to as the "Website"). This Offer is indefinite and may be amended or revoked by the Fund at any time (before its acceptance by the Donor) by posting the relevant information on the Website.

1.3. The CO may conclude contracts for charitable donations in a different manner and/or on different terms than those provided in this Offer. The Donor may separately contact the CO to conclude such a contract.

2. SUBJECT OF THE CONTRACT

2.1. The subject of this Contract is the gratuitous and voluntary transfer by the Donor to the ownership of the CO of monetary funds, by making a charitable donation for the implementation of the CO's statutory activities. The Donor independently determines the amount of the charitable donation. The CO independently determines the areas of use of the charitable donation within its statutory activities, unless otherwise specified by the Donor in the manner defined by this Contract. The subject of this Contract does not include obtaining profit directly or indirectly by either Party to the Contract.

2.2. The transfer of monetary funds by the Donor under this Contract is recognized as a charitable donation in accordance with Article 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations."

3. CO'S ACTIVITIES

3.1. The CO carries out charitable activities in accordance with its Statute, in particular in the field of volunteer movement development, providing humanitarian, informational, and psychological assistance to vulnerable categories of the population, in the field of women's rights protection, supporting the development of women's/feminist public organizations and the feminist movement in Ukraine through training, grant programs, and other resources.

3.2. The CO's activities are not aimed at making a profit.

3.3. Information about the Fund's activities and reports on the results of such activities are posted on the Website.

4. MAKING A DONATION

4.1. A charitable donation is voluntary and is not subject to further return to the Donor.

4.2. In accordance with this Offer and the Contract, charitable donations are provided by Donors and used by the CO for conducting and ensuring charitable activities (implementing the areas, goals of charitable activities, and charitable programs) of the CO in accordance with the Statute and the legislation of Ukraine. The Donor agrees to such targeted use of their donation.

4.3. The Donor independently determines the amount of the charitable donation and makes it by transferring funds using the payment forms and means posted on the Website.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The CO undertakes to use the funds of the Donor's charitable donation strictly in accordance with the legislation of Ukraine and only within the framework of its statutory activities.

5.2. The CO has the right to independently determine the areas of use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, except in cases where the Donor has specified a specific purpose for their donation under a separate contract with the CO. Thus, if the specific purpose of the charitable donation by the Donor is not defined, it is considered that the donation is made for the implementation of the CO's statutory activities.

5.3. By providing a charitable donation, the Donor unconditionally asserts their capacity, the voluntary nature of the transaction, and that the subject of the charitable donation is not under prohibition, arrest, is not pledged, is not encumbered by any other rights of third parties, and was not acquired in violation of the norms of the Law of Ukraine "On Prevention and Counteraction to the Legalization (Laundering) of Proceeds from Crime, Financing of Terrorism, and Financing the Proliferation of Weapons of Mass Destruction." In case of reasonable doubts regarding these assertions, the CO has the right to request, and the Donor is obliged to provide, relevant supporting evidence of these assertions.

6. ACCEPTANCE

6.1. Acceptance is the full and unconditional acceptance of the Public Offer by performing actions to make a monetary transfer using the payment forms and means posted on the Website, as well as by transferring funds to the CO's bank account through banking institutions. The moment of Acceptance is the date of the monetary transfer and/or the crediting of funds to the CO's bank account.

6.2. Acceptance of the Offer means that the Donor agrees with all its provisions and fully understands and agrees with the subject of the Contract.

7. FINAL PROVISIONS

7.1. The CO processes the personal data of the Donor provided when visiting the Website and/or making a monetary transfer (hereinafter referred to as personal data) for the proper implementation of this Contract and its statutory activities. Detailed information about the processing of personal data by the CO is posted in the Privacy Policy.

7.2. The CO's liability for violations of this Contract or the procedure for using charitable donations arises on the grounds, in the amount, and in the manner defined by the requirements of current legislation of Ukraine.

7.3. In case of disputes between the parties to this Contract, they shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, disputes shall be considered by the courts in the manner established by current legislation of Ukraine.
